These Terms of Service outline how we work at Studio Full Circle. They’re here to make sure everyone is on the same page before we begin a project together.

By engaging Studio Full Circle’s services, accepting a proposal, paying an invoice, or signing a project agreement, you agree to these Terms.

1. Our Services

Studio Full Circle provides creative services including, but not limited to:

• Brand Identity
• Website Design & Development
• Packaging Design
• Marketing & Campaign Creative
• Creative Support & Retainers
• Digital Design
• Creative Consulting

The scope, timeline, deliverables, and fees for each project will be outlined in your proposal or agreement.

2. Quotes & Proposals

All quotations and proposals are valid for 30 days, unless otherwise stated.

Any changes to the agreed project scope, timeline, or deliverables may require a revised proposal and additional fees.

3. Payment Terms

Payment schedules will be outlined in your proposal or agreement.

Projects requiring a deposit will not commence until the deposit has been received.

Final artwork, website launches, editable files, or project handover will only take place once all outstanding invoices have been paid in full.

Invoices not paid by the due date may incur interest at 10% per calendar month on the outstanding balance until payment is received.

Studio Full Circle reserves the right to suspend work, withhold deliverables, delay project timelines, or terminate a project until all outstanding invoices have been settled.

The Client is responsible for any reasonable costs incurred in recovering overdue payments.

4. Scope Changes & Additional Work

Our proposals are prepared based on the agreed project scope.

Should additional work be requested after the project has commenced, we’ll always discuss it with you before proceeding.

Additional work may be quoted separately or billed at our standard hourly rate of AUD $75 per hour, unless otherwise agreed.

5. Revisions

Each project includes the number of revision rounds specified in your proposal.

Revision rounds are intended to refine the approved creative direction—not introduce an entirely new direction or significantly alter the agreed scope.

Additional revisions or out-of-scope requests may incur additional fees.

6. Project Timelines

Estimated timelines are based on timely communication, approvals, and the delivery of required content from the Client.

Delays in providing feedback, content, approvals, or other required materials may impact the project schedule.

Studio Full Circle is not responsible for delays caused by factors outside of our reasonable control.

7. Client Responsibilities

To ensure projects run smoothly, Clients agree to:

• Provide accurate information and project materials.
• Supply content, imagery, and assets by agreed deadlines.
• Review work and provide consolidated feedback.
• Obtain any required internal approvals before production.

Project timelines may be adjusted if these responsibilities are not met.

8. Project Pauses & Cancellation

Projects paused by the Client for more than 30 days may be rescheduled based on Studio Full Circle’s availability.

Where appropriate, a project restart fee may apply to cover administration, planning, and resource allocation.

If a project is cancelled after work has commenced:

• Deposits are non-refundable.
• All work completed up to the cancellation date remains payable.
• Any non-refundable third-party costs incurred on behalf of the Client will also remain payable.

Monthly retainers require 30 days’ written notice prior to cancellation unless otherwise agreed.

9. Availability

Our standard business hours are Monday to Friday, 9:00 AM – 5:00 PM (GMT+7 / WIB), excluding public holidays.

While we aim to respond promptly, messages received outside business hours will be answered on the next business day.

10. Intellectual Property

Upon full payment of all outstanding invoices, ownership of the final approved deliverables transfers to the Client.

Studio Full Circle retains ownership of:

• Working files
• Preliminary concepts
• Unused design directions
• Design processes
• Templates
• Internal systems and methodologies

Editable working files are not included unless specifically stated in the proposal.

11. Portfolio Rights

Unless otherwise agreed in writing, Studio Full Circle may showcase completed work within our portfolio, website, social media, award submissions, presentations, and other promotional materials.

Any confidential or commercially sensitive information will always be respected.

12. Confidentiality

Both Studio Full Circle and the Client agree to keep confidential any non-public information shared throughout the course of the project.

This obligation continues after the project has concluded.

13. Third-Party Services

Projects may involve third-party platforms or services, including Shopify, Squarespace, website hosting, fonts, plugins, stock imagery, printing, domain providers, or other software.

Unless otherwise stated, all third-party subscription fees, licences, hosting costs, printing costs, and platform fees are the Client’s responsibility.

Studio Full Circle is not responsible for changes, outages, pricing updates, or technical issues caused by third-party providers.

14. Limitation of Liability

While we take every reasonable care in delivering our services, Studio Full Circle shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our work or services.

Our total liability is limited to the fees paid by the Client for the relevant project.

15. Termination

Either party may terminate a project by providing written notice.

The Client remains responsible for payment of all work completed, expenses incurred, and any outstanding invoices up to the termination date.

Studio Full Circle reserves the right to terminate a project where:

• Payment obligations are not met.
• Communication has ceased for an extended period.
• The Client acts in a manner that is abusive, unlawful, or breaches these Terms.

16. Amendments

Studio Full Circle may update these Terms of Service from time to time.

The version published on this website at the time a proposal is accepted will apply to that project unless otherwise agreed in writing.

17. Governing Law

These Terms are governed by the laws of Indonesia.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Indonesia.
